You must be at least 18 and able to form a legal contract. You agree to comply with all applicable laws and not misuse our Services.

4.5 Branding● Logo design
● Brand guideline creation
4.6 ConsultingDigital strategy sessions if purchased separately.
Services may require separate agreements; those override these Terms where different.
5. ACCOUNT ACCESS
You may be required to create accounts or grant access to platforms. You agree to provide correct logins and keep them secure. You are responsible for any activity under your accounts.
6. CLIENT RESPONSIBILITIES
You agree to:
● Provide timely content, information, and approvals
● Ensure materials comply with all laws and platform rules
● Maintain backups of your own data
● Respond promptly to enable smooth workflow
● Not request unethical or prohibited work
Delays from the Client may affect timelines and results.
7. PROHIBITED USES
You may NOT use our Services for:
● Illegal or fraudulent activities
● Misleading claims or false advertising
● Adult, hateful, violent, or restricted content
● Scams, spam, or dangerous substances
● Hacking, misuse, or disruption
● Policy violations on Meta, Google, or other platforms
We may suspend or terminate service for violations.
8. PAYMENTS & FEES
● All payments are due upfront unless stated otherwise.
● Subscriptions auto-renew until cancelled.
● Late payments may pause or end services.
● Ad budgets are always separate and paid directly to platforms.
● Additional or out-of-scope work may incur extra charges.
TaxesYou are responsible for applicable VAT, sales tax, or GST as required.
9. REFUND POLICY
Due to the nature of digital services:
All payments are final and non-refundable.This includes:
● Setup fees
● Monthly retainers
● Website deposits
● Custom development
● Automation setup
● Paid ads management
We do not guarantee specific revenue or results.
10. SERVICE LEVEL & AVAILABILITY
● We aim to keep Services operational but cannot guarantee uninterrupted availability.
● Maintenance or updates may cause downtime.
● Support response times vary based on your plan.
We are not responsible for downtime caused by third-party platforms (Meta, Google, hosting providers, etc.).
11. DATA PROTECTION (GDPR, UK GDPR, CCPA, etc.)
We comply with international data laws.
We may process Client Data solely to deliver Services.
You agree that:
● You have lawful rights to the data you supply.
● You will not provide personal data you do not have consent to share.
● You understand third-party tools may process data independently.

12. INTELLECTUAL PROPERTY
● All content we create after full payment becomes the Client’s property (e.g., websites, designs, creatives).
● Our internal systems, templates, automation logic, or proprietary frameworks remain DigiCyberSols’ intellectual property unless agreed otherwise.
● You must not resell or redistribute our systems without permission.
13. THIRD-PARTY TOOLS
We often integrate external tools. You acknowledge that:
● Their terms apply separately
● We are not responsible for third-party downtime
● You must maintain active subscriptions where required
If a platform bans, restricts, or suspends accounts, it is not DigiCyberSols’ liability.
14. CONFIDENTIALITY
Both parties agree to keep private and sensitive information confidential.
This includes client lists, strategies, credentials, business data, and internal documents.
15. AI & AUTOMATION USAGE
Where AI or automation is used:
● Outputs are generated on a best-effort basis
● We do not guarantee accuracy, legal compliance, or outcome
● You are responsible for reviewing the final content
16. COMMUNICATIONS
By using our Services, you agree to receive:
● Emails
● WhatsApp messages
● Support updates
● Service notifications
● Marketing communication (can be opted out)
17. TERMINATION
We may terminate or suspend your account if:
● You breach these Terms
● Payments are overdue

You may terminate at any time, but payments already made are not refundable.
18. LIMITATION OF LIABILITY

● Delays caused by Client inaction
● Third-party service failures
● Loss of data
● Indirect, incidental, or consequential damages
Our total liability is limited to the amount you paid in the past 30 days.
19. DISCLAIMER
We do not guarantee:
● Sales
● Leads
● Profit
● Specific marketing results
● Specific ranking or ad approval
● Platform stability
All Services are delivered on a best-effort basis.
20. INDEMNIFICATION
You agree to indemnify and hold DigiCyberSols harmless from claims, losses, liabilities, or damages arising from:
● Your misuse of Services
● Your breach of these Terms
● Content or data you provide
● Violations of laws or platform policies
21. GOVERNING LAW
These Terms are governed by the laws of England & Wales.
Any dispute will be handled under UK jurisdiction unless otherwise mutually agreed.

We serve Clients worldwide.
You are responsible for ensuring your use of our Services complies with your region’s laws and advertising requirements.
23. DISPUTE RESOLUTION
Before legal action, both parties must attempt to resolve issues informally via email.
If unresolved:
● Disputes shall be settled through binding arbitration in the UK
● Each party covers their own costs

Continued use of our Services means you accept the updated version.
